Partner Terms
The agreement between CLOSI+ and the businesses that fulfill gifts on the platform.
1. Who this is for
These terms apply to any business (a Partner) that fulfills gifts on CLOSI+, and to every person who uses a merchant account on the Partner's behalf. By accepting them you confirm you are authorized to bind the business.
2. Your role
You are an independent business, not an employee, agent, or franchisee of CLOSI+. CLOSI+ lists your experiences, sells them to buyers as gifts, and sends recipients to you. You provide the experience yourself and are responsible for its quality, safety, and legality.
3. Honouring gifts
- Provide the experience as described, to any recipient who presents a valid gift, at the location and for the value listed.
- Treat gift recipients exactly as you would a paying customer — no lower service, no hidden extra charges for the gifted items.
- If you cannot provide an experience (closed, sold out, or out of stock), tell us promptly so we can pause the listing or arrange an alternative or refund.
4. Listings and prices
Descriptions, photos, terms, and prices you provide must be accurate and not misleading. You are responsible for having the rights to any photos or text you supply. We may edit, hide, or remove a listing at any time.
5. Redemption and your merchant account
- Only mark a gift as "Service Provided" after the experience has actually been delivered to the recipient.
- Keep your QR code, merchant login, and fallback code under your control and share the login only with staff who need it. You are responsible for everything done through your account.
- Never mark gifts as redeemed in bulk, for friends or staff, or for gifts that were not genuinely used. That is fraud and grounds for immediate removal.
6. Payment and settlement
Buyers pay CLOSI+ for the gift, with card payments processed by Stripe. For each gift you fulfill, you are owed the agreed partner amount for that experience. We pay those amounts in batches through our local operations partner in Ethiopia, who settles with you directly on the schedule we agree with you. Amounts for gifts that were refunded, cancelled, or not genuinely fulfilled are not payable, and overpayments may be deducted from future settlements. Any fees, taxes, or other deductions will be explained to you before they apply.
7. Refunds and disputes
Refunds to buyers follow our Refund Policy. If a gift is refunded before it is redeemed, you will not be paid for it. If a recipient or buyer disputes an experience, you agree to cooperate in good faith and respond promptly.
8. Privacy
You will see recipient names and gift details only to fulfill the gift. Use that information for nothing else, do not share it, and do not contact recipients or buyers for marketing.
9. Compliance
You are responsible for holding any licences and permits your business needs, and for complying with local laws, including those on food safety, health, consumer protection, and tax.
10. Suspension and ending the relationship
We may pause or remove your listings or account immediately if we reasonably suspect fraud, misuse, or serious complaints. Either side may end this arrangement at any time by telling the other in writing. Gifts already purchased for you stay redeemable unless we agree otherwise; amounts owed for fulfilled gifts remain payable.
11. Liability
To the fullest extent permitted by law, CLOSI+ is not liable for loss caused by your experience, your staff, or your premises, and you agree to cover CLOSI+ against claims arising from them. CLOSI+'s total liability to you is limited to the amounts owed to you for fulfilled gifts.
12. Changes and governing law
We may update these terms. When we do, we will ask you to accept the new version the next time you log in. These terms are governed by the laws of Canada, without regard to conflict-of-law principles.
